1. Introduction
Welcome to Think Logic Consulting. These Terms and Conditions govern the consulting services provided by Think Logic Consulting ("the Company", "we", "us", "our") to our clients ("Client", "you"). By accepting a quote or engaging our services, you agree to be bound by these terms.
2. Engagement & Scope
Think Logic Consulting operates strictly on a project-by-project basis or through defined retainer agreements. The scope of work for any engagement is explicitly defined by the quoted and accepted terms provided in our formal quotation.
Engagement is finalized only once a quote has been formally accepted by the Client. We work exclusively according to the specifications, deliverables, and timelines outlined in the accepted quote.
3. Additional Work & Out-of-Scope Requests
We understand that business needs can evolve during a project. However, to maintain transparency and fairness, any work requested that falls outside the original accepted scope will be handled as follows:
- Billable Hours: Any additional work, modifications, or tasks performed outside the original scope of the accepted quote are billable by the hour at our standard consulting rates.
- Scope Deviations: Extensive iterative feedback or frequent changes to previously documented or developed features ("back-and-forth") that deviate from the agreed-upon scope may incur additional charges.
- Unquoted Work: Any work performed or features implemented at the Client's request that were not explicitly captured in the original project quotation may be billed by Think Logic Consulting upon project completion.
- Discretion: The application of these charges is at the sole discretion of the Consultant or Director, based on the validity and extent of the requested deviations.
We will endeavor to notify the Client when a request falls outside the initial scope before commencing the additional work, though the Client acknowledges that any work performed beyond the quote is inherently billable.
4. Payment Terms
Invoices are issued according to the schedule defined in the accepted quote or monthly for ongoing engagements.
- Payments are due within the timeframe specified on the invoice.
- Late payments may incur interest charges as permitted by law.
- Work may be suspended if invoices remain outstanding beyond their due date.
5. Confidentiality & IP
Think Logic Consulting maintains strict confidentiality regarding all Client data and business processes. Unless otherwise agreed in writing:
- Any intellectual property developed specifically for the Client as part of an accepted quote transfers to the Client upon full payment of all related invoices.
- Think Logic Consulting retains ownership of its pre-existing tools, methodologies, and frameworks used during the engagement.
6. Technical Support & Training
Technical Support: Support is strictly defined as assistance required to address system downtime, hardware malfunctions, or critical technical faults that impede the restoration of services to an operational state. Support does not encompass general consultation, feature enhancements, or other forms of assistance unless explicitly agreed upon in writing by the assigned consultant.
System Training: Training sessions for implemented systems may be provided upon formal request by the Client. Such training may be subject to additional scheduling and billing terms as per the consultant's discretion.
7. Client Responsibility & Data Integrity
The Client bears the sole responsibility for conducting comprehensive testing of all deliverables and ensuring the accuracy of all data. Think Logic Consulting shall not be held liable for any data inaccuracies or system discrepancies unless the Client provides written feedback within 24 hours of being notified that the relevant changes or implementations have been completed.
Should changes or corrections need to be made after this 24-hour feedback period, it may result in additional billable time at our standard consulting rates.
8. Termination
Either party may terminate an engagement with written notice as specified in the accepted quote or contract. Upon termination, the Client remains responsible for payment for all work completed up to the date of termination, including any accumulated out-of-scope hours.
